Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of planetaiagents.com (the “Site”) and any services provided by Planet AI LLC (“Planet AI,” “we,” “us,” or “our”), including AI voice agents, AI chat/SMS agents, marketing automation, CRM setup, and related consulting services (the “Services”). By accessing the Site or engaging Planet AI for Services, you (“you,” “Client,” or “your”) agree to be bound by these Terms.

1. Acceptance of Terms

By using the Site, submitting a form, signing a proposal or order form, or otherwise engaging Planet AI, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.

2. Description of Services

Planet AI provides AI-driven business automation services, which may include:

  • AI voice agents that answer or place phone calls on behalf of a business.
  • AI chatbots and SMS/text-based agents for customer communication, lead follow-up, and support.
  • Marketing automation, CRM configuration, funnels, and related workflow setup.
  • Consulting, strategy, and ongoing support related to the above.

Specific deliverables, pricing, and timelines for a given engagement are set out in a separate proposal, order form, or service agreement, which is incorporated into these Terms by reference.

3. Eligibility and Accounts

  • You must be at least 18 years old and authorized to bind the business you represent to use our Services.
  • You agree to provide accurate, current, and complete information and to keep it updated.
  • You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.

4. Fees, Billing & Payment

  • Fees for Services are set out in your proposal, order form, or service agreement.
  • Setup, onboarding, and one-time build fees are due as invoiced and are non-refundable once work has begun, except as otherwise stated in your agreement.
  • Recurring/subscription fees are billed in advance on the agreed cycle and will continue until you cancel in accordance with your agreement.
  • Late payments may result in suspension of Services until the account is brought current.
  • All fees are exclusive of applicable taxes unless stated otherwise.

5. Client Responsibilities for AI Communications

If your engagement involves an AI voice, chat, or SMS agent contacting your customers or leads, you are solely responsible for:

  • Ensuring you have obtained all consents required by the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state telemarketing and recording laws, and any other applicable law before providing contact lists or campaign content to Planet AI.
  • The accuracy, legality, and source of any phone numbers, email addresses, or other contact data you provide.
  • Cooperating with Planet AI's A2P 10DLC brand and campaign registration process (or maintaining your own registration) as required by mobile carriers and The Campaign Registry.
  • Ensuring your own website and customer-facing materials include any required AI-interaction disclosures, SMS consent language, and links to a privacy policy, as provided or recommended by Planet AI.

Planet AI may suspend or terminate any campaign that it reasonably believes violates carrier rules, the CTIA Messaging Principles and Best Practices, or applicable law.

6. AI Performance Disclaimer

  • Our Services rely on artificial intelligence and third-party platforms (including telephony, large-language-model, and messaging providers). AI-generated responses may occasionally be inaccurate, incomplete, or unexpected.
  • Planet AI does not guarantee specific business outcomes, lead volume, conversion rates, call answer rates, or revenue results from use of the Services.
  • Planet AI is not responsible for outages, errors, or changes caused by third-party AI, telephony, or software providers that are outside of our reasonable control.
  • You should review and test AI agent scripts, automations, and messaging before relying on them for critical business communications.

7. Intellectual Property

  • All content, software, templates, prompts, workflows, and materials provided by Planet AI (“Planet AI Materials”) remain the property of Planet AI or its licensors, except as expressly transferred in a service agreement.
  • You retain ownership of your business data, customer lists, branding, and content you provide to Planet AI (“Client Materials”).
  • You grant Planet AI a license to use Client Materials solely to provide the Services.
  • You may not copy, resell, sublicense, or reverse-engineer Planet AI Materials without our prior written consent.

8. Confidentiality

Each party agrees to use the other party's confidential information only as necessary to perform under these Terms and to protect it with the same degree of care it uses to protect its own confidential information, but no less than reasonable care.

9. Acceptable Use

You agree not to use the Services to:

  • Send unsolicited, deceptive, fraudulent, or illegal communications, including content that violates the CTIA Messaging Principles and Best Practices or the TCPA.
  • Transmit content that is unlawful, harassing, defamatory, obscene, or that infringes the rights of others.
  • Distribute malware or attempt to gain unauthorized access to any system.
  • Violate the rights of any third party or any applicable law or regulation.

10. Term, Suspension & Termination

  • These Terms remain in effect for as long as you use the Site or Services, or as specified in your service agreement.
  • Either party may terminate a service agreement in accordance with its terms (e.g., with written notice prior to the next billing cycle).
  • Planet AI may suspend or terminate access to the Services immediately if you breach these Terms, fail to pay fees due, or use the Services in a manner that creates legal or carrier-compliance risk.
  • Provisions relating to payment, intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.

11. Disclaimers & Limitation of Liability

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANET AI AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. PLANET AI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO PLANET AI IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Planet AI and its owners, employees, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) your violation of any law, including telemarketing, messaging, or privacy laws; (c) Client Materials or contact data you provide; or (d) your use of the Services.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Walton County, Florida, unless otherwise specified in a separate service agreement.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.

15. SMS / Text Messaging Program

Planet AI operates a text messaging program (Planet AI Alerts) that may send two categories of messages, each requiring its own opt-in consent:

  • Service Alerts: automated reminders and service-based messages, such as appointment confirmations, scheduling updates, and account notices. Agreeing to receive these is not a condition of any purchase.
  • Marketing Alerts: promotional and marketing messages, such as offers and updates. Agreeing to receive these is not a condition of any purchase.

For both categories: message and data rates may apply, and message frequency varies. Reply STOP or OUT to cancel at any time - you will receive one final confirmation message and no further messages will be sent. Reply START to rejoin. Reply HELP, or contact [email protected], for assistance. Carriers are not liable for delayed or undelivered messages.
